[Editor's note: This article from the European Company and Financial Law Review looks at why cooperatives are formed, considers their advantages and disadvantages compared to other forms of governance, and sets out a legal research agenda for determining how changes "in the institutional environment, i.e. the legal rules concerning the cooperative, impacts on the individual decision between entering into a contract, incorporating a company or creating a cooperative."  While the author discounts the feasability of some cooperative sturctures, namely multi-stakeholder co-ops, the article nonetheless presents an intersting and useful "outsider's perspective" on cooperatives and cooperative governance.]
